01 Acceptance of terms
These terms of service ("Terms") govern your use of the website published at this domain and any commercial service supplied by BITECHEN LTD ("we", "us", "Bitchen"). By using this website or commissioning a service from us, you ("Client") agree to be bound by these Terms.
For client engagements, the specific Statement of Work ("SoW") signed by both parties prevails over these Terms in the event of any conflict.
02 Services offered
Bitchen provides creative and technical services including, without limitation: brand strategy, visual identity, web and product design, software development, motion design, and launch support. The exact scope of any engagement is defined in a written SoW.
03 Engagement & quotes
Quotes issued by Bitchen are valid for 30 days unless otherwise stated. A project is considered confirmed only after the Client has signed the SoW and paid the initial instalment described in section 04.
Any work performed outside the agreed scope is treated as additional work, quoted separately and approved in writing before execution.
04 Fees & payment
- Currency · fees are quoted in GBP unless otherwise specified
- Schedule · typically 40% on signature, 30% at mid-point, 30% before delivery — adjusted in the SoW where appropriate
- Terms · net 14 days from invoice date
- Late payment · interest applies under the Late Payment of Commercial Debts (Interest) Act 1998 at the statutory rate
- Suspension · we reserve the right to suspend work on any project with overdue invoices, after written notice
All fees are exclusive of VAT and any applicable local taxes, which are added where required.
05 Client obligations
To deliver the project on time and on quality, the Client agrees to:
- Provide complete, accurate and timely briefs, content, brand assets and access credentials
- Designate a single point of contact authorised to make decisions
- Respond to validation requests within a reasonable timeframe (5 working days by default)
- Hold all necessary rights to any material provided to us
Delays caused by missing inputs from the Client may extend the timeline accordingly.
06 Delivery & revisions
Each SoW specifies the deliverables, timeline and number of revision rounds included. Additional revision rounds are charged at our then-current day rate.
The Client must review each deliverable within 10 working days. Without written feedback in that window, the deliverable is deemed approved.
07 Intellectual property
Final deliverables
Upon full payment of all invoices related to a project, Bitchen assigns to the Client the rights to use the final deliverables for the purposes defined in the SoW. The scope, territory and duration of that licence or assignment are specified in the SoW.
Working files & methodology
Working files, source code libraries, design system internals, frameworks, tools and methodology developed by Bitchen and used across projects remain the exclusive property of Bitchen.
Third-party assets
Fonts, stock images, plugins and any third-party assets used in the project remain subject to their own licences. The Client is responsible for maintaining valid licences after handover where applicable.
Portfolio rights
Unless explicitly excluded in writing in the SoW, Bitchen reserves the right to feature the work produced for the Client in its portfolio, case studies and award submissions, after the public launch of the project.
08 Confidentiality
Each party agrees to treat as confidential any non-public information received from the other party in the course of the engagement, and to use it only for the purpose of performing the agreement. This obligation survives termination for a period of three years.
09 Warranty
Bitchen warrants that services will be performed with reasonable skill and care, in line with industry standards. We do not warrant that any website or software produced will be free of bugs at all times or fully compatible with every future browser or platform release. Issues reported within 30 days of delivery and attributable to our work are corrected at no extra cost.
10 Limitation of liability
To the fullest extent permitted by applicable law, Bitchen's total aggregate liability arising out of or in connection with any engagement is limited to the total fees actually paid by the Client under the relevant SoW in the 12 months preceding the event giving rise to the liability.
Bitchen shall not be liable for indirect, consequential, punitive or special damages, including loss of profit, loss of business, loss of data, or loss of goodwill.
Nothing in these Terms excludes liability that cannot lawfully be excluded under UK law (including death, personal injury caused by negligence, or fraud).
11 Termination
Either party may terminate the agreement with written notice if the other party commits a material breach that is not remedied within 14 days of written notice, or becomes insolvent.
On termination, the Client pays Bitchen for all work performed up to the effective date, including non-cancellable third-party costs already committed.
12 Force majeure
Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, civil unrest, government action, power or network outages, or large-scale failures of essential third-party services.
13 Governing law & jurisdiction
These Terms and any engagement based on them are governed by the laws of England & Wales. The parties submit to the exclusive jurisdiction of the courts of England & Wales for any dispute arising from these Terms, after a good-faith attempt at amicable resolution.
